This request is made under Regulation 31A of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The company confirms that Pradip Bachubhai Shah does not hold any shares in the company as of the current date. Consequently, this reclassification will have no impact on the overall shareholding pattern of the promoter and promoter group.
The request will be placed before the Board of Directors at their forthcoming meeting for formal consideration. The company will undertake all necessary steps and seek required approvals in accordance with Regulation 31A of the SEBI Listing Regulations.
Pradip Bachubhai Shah provided a comprehensive certification confirming:
- He does not exercise control over the company's affairs, directly or indirectly
- He holds no special rights through formal or informal arrangements
- He does not serve on the Board of Directors and has no nominee director
- He is not a Key Managerial Person of the company
- He is not classified as a wilful defaulter per RBI guidelines
- He is not a fugitive economic offender
- He does not possess any price sensitive information and does not wish to participate in company affairs
- He and related persons hold zero shares in the company
- There are no pending regulatory actions against him
Shah further committed to continuing compliance with conditions specified under sub-clauses (i), (ii), and (iii) of Regulation 31A(3)(b) of SEBI LODR Regulations permanently from the reclassification date. He also committed to compliance with conditions under sub-clauses (iv) and (v) for at least three years from the reclassification date. Failure to maintain these conditions would result in reversion to 'Promoter Group' classification.
