Macpower Promoter Group Inclusion After 4.75% Share Transfer

Share Transfer & Promoter Group Reclassification

Mrs. Riyaben Rupeshbhai Mehta, a member of the Promoter Group of Macpower CNC Machines Limited, transferred 4.75% equity shares held by her in the Company to her son, Mr. Reyan Rupeshbhai Mehta.

The transfer was executed by way of a gift through an off-market transaction.

Regulatory Basis for Reclassification

Mr. Reyan Rupeshbhai Mehta shall henceforth be classified as a member of the Promoter Group of the Company in terms of Regulation 2(1)(zb) of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, being an immediate relative of a promoter.

Mr. Reyan Rupeshbhai Mehta was previously disclosed as a member of the Promoter Group in the Prospectus filed by the Company at the time of its Initial Public Offering (IPO).

Shareholding Pattern Update

The Company shall reflect the name of Mr. Reyan Rupeshbhai Mehta under the Promoter Group category in the next shareholding pattern submission with the Exchange.

The Company formally requests approval from the National Stock Exchange of India Limited for the inclusion of Mr. Reyan Rupeshbhai Mehta under the Promoter Group category in the next shareholding pattern to be submitted.
