All trusts hold nil direct securities in Muthoot Microfin Limited as the transaction was executed at the holding company level.

Ownership & Strategic Disclosures

The transaction involves the settlement of 65,28,72,800 equity shares of Muthoot Fincorp Limited (MFL) representing 66.76% of MFL's paid-up equity share capital from individual promoters to the six trusts. This transaction was executed pursuant to SEBI exemption order number WTM/KCV/CFD/10/2026-27 dated August 3, 2026, issued under Section 11(1) and Section 11(2) of the SEBI Act, 1992 read with Regulation 11 of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.

Since MFL holds 50.21% equity share capital in Muthoot Microfin Limited, the settlement results in the acquirer trusts indirectly exercising control over MFL's shareholding in MML. The transaction is part of succession planning within the promoter and promoter group of MFL. There is no change in the total shareholding of the promoters in Muthoot Microfin Limited after this settlement.

The company has been advised to consider this information while preparing its shareholding pattern to be filed under Regulation 31 of SEBI LODR Regulations.
