All requestors certified that they:

  • Hold zero shares in the company as of date
  • Never had control over the company's affairs directly or indirectly
  • Do not hold more than 10% of total voting rights
  • Do not exercise control over company affairs
  • Have no special rights through formal or informal arrangements
  • Are not represented on the board of directors
  • Are not acting as key managerial persons
  • Are not wilful defaulters per RBI guidelines
  • Are not fugitive economic offenders
  • Have no pending regulatory actions against them
  • Are not in violation of SEBI Circular No. SEBI/HO/MRD/DSNP/CIR/P/2017/92 dated August 1, 2017
  • Are not in violation of Regulation 34 of SEBI (Delisting of Equity Shares) Regulations, 2021

The requestors have committed to continue complying with conditions (i), (ii), and (iii) of Regulation 31A(3)(b) at all times post-reclassification, and conditions (iv) and (v) for at least three years from the date of reclassification.

The Company will take necessary steps in accordance with Regulation 31A of the SEBI Listing Regulations and has submitted the request to BSE Limited for record.
