2. Key Financial or Operational Approvals

The Board of Directors of the Bank approved both changes on October 1, 2026 through circulation. The decisions were based on recommendations from both the Nomination and Remuneration Committee and the Risk Management Committee of the Board.

The changes represent a strategic realignment of the risk management function with an experienced Chief Risk Officer taking over from the previous incumbent who is moving to a governance projects role. Mr. Pathak brings extensive risk management experience from multiple banking sectors.
