Bervin Investment and Leasing Limited has issued an intimation to its shareholders holding shares in physical form, pursuant to Regulation 30 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015. The communication urges physical shareholders to take three key actions:

1. Mandatory Furnishing of PAN and KYC Details

The company reminds shareholders of SEBI's mandate (via circular dated November 03, 2021 and subsequent circulars) requiring all physical security holders to furnish:

  • PAN
  • Contact details (Postal Address with PIN, Mobile Number, Email Address)
  • Bank Account details
  • Specimen signature

Shareholders who have not updated these details are not eligible to lodge grievances or avail any service requests from the Company's RTA/Company. Furthermore, effective April 01, 2024, shareholders are only eligible for payments (including dividend) via electronic mode after furnishing all required details.

Shareholders are requested to submit the required details using Investor Service Request (ISR) Forms (ISR-1, ISR-2, ISR-3, SH-13, SH-14 as applicable) through one of three modes:

  • In Person Verification (IPV) at the RTA's office (only the registered shareholder, not a representative)
  • Post/Courier with self-attested documents
  • Electronic mode with e-sign from a registered email ID

2. Conversion to Dematerialized Mode

The company references Regulation 40 of the Listing Regulations, which mandates that requests for transfer of securities shall not be processed unless held in dematerialized form. Similarly, transmission or transposition of securities must be effected only in demat form. SEBI Circular No. SEBI/HO/MIRSD/MIRSD_RTAMB/P/CIR/2022/8 dated January 25, 2022 further clarifies that listed companies must issue securities only in demat mode while processing any investor service requests (duplicate certificates, renewal, transmission, etc.). Shareholders are urged to convert their physical holdings to demat mode to eliminate risks associated with physical shares and for ease of portfolio management.

3. Special Window for Re-lodgement of Transfer Deeds

The company informs shareholders of a special window opened pursuant to SEBI Circular No. HO/38/13/11(2)2026-MIRSD-POD/I/3750/2026 dated January 30, 2026. This window is open for one year from February 05, 2026 to February 04, 2027 for the re-lodgement of transfer deeds that were lodged prior to the April 01, 2019 deadline and were rejected/returned/not attended to due to documentation or process deficiencies.

Key conditions for this special window:

  • Cases involving disputes between transferor and transferee will not be processed
  • Shares already transferred to the Investor Education and Protection Fund (IEPF) will not be processed
  • Shares re-lodged for transfer will be issued only in dematerialized mode
  • These shares will be subject to a lock-in period of one year from the date of registration of transfer
