Engineers India Board Appeals ₹10.73L Exchange Fines

The Board of Engineers India Limited discussed the following matters in its 398th Meeting held on 22.09.2026:

The Company Secretary informed the Board that both National Stock Exchange of India Limited and BSE Limited levied fines of ₹5,36,900/- each (inclusive of GST @18%) for non-compliance with SEBI Listing Regulations 17(1) for the quarter ending 30th June, 2026
The non-compliance was due to non-availability of requisite number of Independent Directors including woman Independent Director on the Board
The Board noted that as a Public Sector Undertaking, the power to appoint Directors is vested with Government of India (Ministry of Petroleum and Natural Gas - MoPNG)
The administrative ministry (MoPNG) has been requested to fill up the requisite number of directors
Parallel requests were made to stock exchanges for waiver of fines, but exchanges policy requires full compliance before considering waiver
The Board advised the Company Secretary to pursue the matter with Corporate Affairs Desk, MoPNG regarding the levy of fines

The fines were imposed via NSE Letter No. NSE/USTSOP/COMB/FINES/0954 dated 25.08.2026 and BSE email dated 25.08.2026
The company sent letters dated 27.08.2026 seeking waiver of the imposed fines
The current communication (28.10.2026) formally requests both exchanges to waive the fines for the quarter up to 30.06.2026
The company argues that non-compliance is beyond their control due to government appointment procedures
