The board observed that the directors of ITDC are appointed by the Government of India through its Administrative Ministry, implying the company does not have direct control over the appointment process. Consequently, the board concluded that there is no fault of ITDC and therefore the company can seek a waiver of the imposed penalties.
The disclosure also states that ITDC is following up with the concerned appointing authority (the Government of India) to achieve compliance. Once compliance is achieved, the company intends to submit a formal request to the exchange for a waiver of the fine.
