Regulatory Compliance Update

Mangalam Worldwide Limited has received a Notice from BSE Limited (Reference No. SOP-Review-30/06/2026) dated June 30, 2026. The notice pertains to the levy of a fine in connection with an alleged delay in the submission of the Financial Results for the quarter and financial year ended March 31, 2026, under Regulation 33 of the SEBI Listing Regulations.

This matter was placed before the Company's Board of Directors at its meeting held on July 24, 2026, for consideration and noting.

The Board of Directors has commented that the alleged non-compliance is based on an inadvertent misunderstanding of the applicable regulatory position. The Company's position is that it had fully complied with the provisions of Regulation 33 by timely submitting the Financial Results to the National Stock Exchange of India Limited (NSE), which was the only stock exchange on which its securities were listed on the relevant date. Therefore, the Board contends that no default or non-compliance can be attributed to the Company.

In response, the Company has already submitted a detailed Waiver Application to BSE Limited (Reference No. MWL/CS/SE/2026-27/91) dated July 10, 2026. This application sets out the relevant facts and circumstances and formally requests a waiver of the imposed fine.

It also states that the Company will keep the exchanges informed of any material developments in this matter as required under applicable laws and regulations.
