Mauria Udyog Limited has filed a regulatory disclosure pursuant to Regulation 30 read with Para A of Part A of Schedule III of the SEBI Listing Regulations, 2015. This filing is a follow-up to a previous intimation dated July 17, 2026.

The disclosure concerns legal proceedings between the company and the Securities and Exchange Board of India (SEBI). The company had filed Appeal No. 269 of 2026 before the Securities Appellate Tribunal (SAT), Mumbai, challenging the Final Order dated June 30, 2026, passed by a Whole Time Member of SEBI.

The SAT has issued an Order on Interim Relief dated October 8, 2026, which was received by the company on October 9, 2026. The details of the SAT's order are as follows:

  • The company's interim prayer for a stay on the debarment imposed by SEBI was rejected.
  • The SAT has ordered a stay on the recovery of the monetary penalties, subject to the condition that the company deposits 50% of the total amount with SEBI within four weeks from October 8, 2026 [i.e., by November 5, 2026].
  • SEBI is directed to place the deposited amount in an interest-bearing account.

The original SEBI Order, which is being appealed, had directed the following actions against the company:

  • Debarment from the securities market for a period of 5 years.
  • Disgorgement of ₹18,68,40,551 (jointly and severally with certain other noticees).
  • Imposition of a monetary penalty of ₹1,00,00,000 (₹1 Crore).

The total monetary amount subject to the SAT's conditional stay is therefore ₹19,68,40,551 (₹18.68 crore disgorgement + ₹1 crore penalty). The required 50% deposit amounts to ₹9,84,20,275.50.

The alleged violations that led to the SEBI order are lapses under the provisions of the SEBI Act, 1992, and the SEBI (Prohibition of Fraudulent and Unfair Trade Practices relating to Securities Market) Regulations, 2003, specifically in relation to the manipulation of the price and volume of the company's equity shares.

Regarding financial impact, the company states that apart from the requirement to deposit 50% of the penalty and disgorgement amount, "There is no material impact on the financials, operations or other activities of the Company." The immediate financial impact is quantifiable as an outflow of approximately ₹9.84 crore.

The disclosure was made on October 16, 2026. The company attributes a delay in this disclosure to the time taken to obtain legal opinion, assess the financial impact of the SAT Order, and determine the subsequent actions to be taken.

The document is signed by Divya Agarwal, Company Secretary & Compliance Officer (Membership No. A21071).
