Regulatory and Policy Measures

The Reserve Bank of India has exercised its authority under sub‑section (4) of Section 44A of the Banking Regulation Act, 1949, to sanction the Scheme of Amalgamation of the Indian branches of Emirates NBD Bank P.J.S.C. (the Transferor Bank) with RBL Bank Limited (the Transferee Bank). The scheme has been formally approved through the aforementioned press release.

Effective from 1 December 2026, all Indian branches currently operating under Emirates NBD Bank P.J.S.C. will be re‑designated as branches of RBL Bank Limited. Consequently, the operational, regulatory, and supervisory responsibilities for these branches will transfer to RBL Bank Limited from that date.

The approval was communicated by the Chief General Manager, Brij Raj, underscoring the RBI’s role in overseeing structural changes within the banking sector to ensure stability and compliance with statutory provisions.

This amalgamation aligns with the RBI’s mandate to facilitate consolidation in the banking industry, potentially enhancing the combined entity’s capital base, operational efficiency, and service outreach.

Overall, the document confirms the regulatory clearance, the legal basis for the merger, and the timeline for implementation, without providing additional financial or operational metrics.
