Regulatory Action & Fines
The Company received emails dated 25 August 2026 from BSE Limited and National Stock Exchange of India Limited levying a total fine of ₹13,10,980/- each (₹11,11,000/- each plus 18% GST) for non-compliances during the quarter ended 30 June 2026. The breakdown of fines by regulation is:
- Regulation 17(1): ₹5,36,900 for non-compliance with board composition requirements, including failure to appoint a woman director.
- Regulation 17(2A): ₹11,800 for non-compliance with requirements pertaining to quorum of Board meetings.
- Regulation 18(1): ₹1,91,160 for non-compliance with constitution of audit committee.
- Regulation 19(1)/19(2): ₹1,91,160 for non-compliance with constitution of nomination and remuneration committee.
- Regulation 20(2)/(2A): ₹1,91,160 for non-compliance with constitution of stakeholder relationship committee.
- Regulation 21(2): ₹1,88,800 for non-compliance with constitution of risk management committee.
Total fine per exchange: ₹13,10,980.
The disclosure states that this action "does not have significant impact on financial, operational or other activities of the Company, quantifiable in monetary terms to the extent possible."
KMP / Board Changes
The Appointments Committee of the Cabinet (ACC), based on a recommendation dated 09 June 2026 from the Search Committee, approved the proposal of the Ministry of Ports, Shipping and Waterways for appointment of Smt. Bharati Raman Gotarna as Non-official (Independent) Director (NoD) on the Board of The Shipping Corporation of India Limited for a period of 3 years.
The appointment is effective from 19 August 2026.
Compliance Status Update
Consequently, the Company has re-constituted all Statutory Board-level Committees. Accordingly, the Stakeholders Relationship Committee and Risk Management Committee are in compliance with SEBI Listing Regulations and other applicable Acts and Guidelines effective from 19 August 2026. The Company has also complied with the requirement of having a woman Independent Director on the Board.
The Company, being a Navratna Public Sector Undertaking (PSU), is coordinating with the Competent Authority for appointment of the requisite number of Independent Directors on its Board in accordance with Regulation 17 of SEBI Listing Regulations. Once appointed, the Company will reconstitute the Audit Committee and Nomination and Remuneration Committee. The disclosure notes that "only Competent Authority has powers to nominate Directors on Board of the SCI."
The Company is in the process of submitting request letters to both stock exchanges regarding these matters.
