Shoppers Stop Limited has filed a regulatory disclosure regarding the outcome of applications made under Regulation 31A of the SEBI LODR Regulations, 2015 for re-classification of certain entities.

The disclosure follows earlier intimations dated January 16, 2026 and May 11, 2026 regarding requests received from four entities: Sundew Real Estate Private Limited, Pramaan Properties Private Limited, Content Properties Private Limited and Sycamore Properties Private Limited (collectively referred to as "Request Letters").

These entities had requested reclassification from 'promoter group' category to 'public' category based on changes in their respective shareholdings, which they believed meant they no longer qualified as 'promoter group' under Regulation 2(1)(pp) of the SEBI ICDR Regulations, 2018.

The stock exchanges, through their letters dated October 7, 2026, have rejected these applications. The exchanges stated that the majority shareholders of these entities is Mindspace Business Parks REIT, whose unitholder/sponsor are individuals who (together with their associated entities) hold a majority shareholding in Shoppers Stop Limited.

Consequently, the exchanges determined that the conditions prescribed under Regulation 31A(3)(b) of the SEBI LODR Regulations were not met. As a result, Shoppers Stop will continue to include these four entities as part of its Promoter Group in all future disclosures and filings.

The company has made this information available on its corporate website at https://corporate.shoppersstop.com/investors/.

The disclosure was signed by Rakeshkumar Sanwarmal Saini, Vice President – Legal, CS & Chief Compliance Officer (ACS No. 20257), on October 8, 2026 at 17:18:40 IST.

Financial Impact

No financial impact quantified in the disclosure. The matter relates solely to shareholding classification and regulatory compliance.
