Code of Fair Disclosure Adoption

SRIT India Limited intimated the adoption of its 'Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information and determination of legitimate purposes' to the National Stock Exchange of India Limited and BSE Limited. The intimation was made pursuant to Regulation 8(2) of the SEBI (Prohibition of Insider Trading) Regulations, 2015.

Code Details and Governance

The Code was approved by the Board of Directors on August 10, 2026 (Version 1.0). Its primary objective is to ensure timely and adequate disclosure of Unpublished Price Sensitive Information (UPSI) to maintain uniformity, transparency, and fairness with all stakeholders. The Code defines UPSI to include information relating to financial results, dividends, change in capital structure, M&A, changes in key managerial personnel, changes in ratings, fund raising, agreements impacting management, frauds/defaults, insolvency proceedings, forensic audits, regulatory actions, litigation outcomes, guarantees, and key license changes.

Investor Relations Officer Appointment

The Company Secretary, Nidhi Hitesh Vaswani (ICSI Membership No: F9251), is designated as the Investor Relations Officer (IRO) responsible for the dissemination of information and disclosure of UPSI.

Procedures Outlined

The Code mandates:

  • Prompt public disclosure of concrete UPSI.
  • Uniform dissemination to avoid selective disclosure.
  • Prompt dissemination of any information disclosed selectively.
  • Appropriate and fair response to queries on news reports and verification of market rumors from regulators.

Policy for Legitimate Purposes (Annexure A)

A separate 'Policy for Determination of Legitimate Purposes' is annexed. It defines 'Legitimate Purposes' for sharing UPSI, which includes sharing in the ordinary course of business with partners, collaborators, lenders, customers, suppliers, merchant bankers, legal advisors, auditors, insolvency professionals, or other advisors/consultants. It mandates maintaining a structured digital database of all such sharing, preserving it for at least eight years. Recipients of UPSI must be notified of its confidential nature and their responsibilities.

Leakage Protocol

The Code sets up a procedure for inquiry into any suspected leakage of UPSI, involving the Compliance Officer, the Chairman of the Audit Committee/Board, and potentially external consultants. The outcome must be reported to the Board and promptly intimated to the stock exchanges.

Disclosure Requirements

The document reiterates the regulatory requirements for initial and continual disclosures of securities holdings by promoters, directors, key managerial personnel, and designated persons.
