SRM Contractors Ltd received an SEBI administrative warning letter for failing to obtain prior shareholder approval for material related party transactions.
The transactions with joint ventures SRM-Rajinder Projects and SRM-RSB Projects totaled ₹131.45 crore during FY 2024-25.
The company had obtained subsequent ratification at its September 2025 AGM but violated Regulation 23(4) of SEBI LODR Regulations.
SEBI warned the company to improve compliance standards and avoid recurrence, with the letter to be placed before the board.
