Board Meeting Outcomes

  • The Board of Directors has formulated the Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information (Fair Disclosure Code) under Regulation 8(1) of SEBI PIT Regulations, 2015
  • The code came into effect from the date of its adoption by the Board

Policy Content Summary

Objective

The Company endeavors to preserve the confidentiality of unpublished price sensitive information (UPSI) and to prevent its misuse. The code ensures timely and adequate disclosure of UPSI which would impact the price of its securities.

Disclosure Principles

The Company shall:

  • Promptly disclose publicly any UPSI that would impact price discovery
  • Uniformly and universally disseminate UPSI in a timely manner to stock exchange(s) and company website
  • Disclose press releases considered important for the general public
  • Publish quarterly and annual financial results and investor presentations on website
  • Promptly disseminate UPSI that gets disclosed selectively or inadvertently
  • Provide appropriate response to queries on news reports and market rumours
  • Ensure information shared with analysts is not UPSI
  • Maintain transcripts of meetings with analysts on website where required
  • Handle price sensitive information on a need-to-know basis

Policy for Determination of Legitimate Purposes

UPSI can be shared:

  • Only on need-to-know basis and for legitimate purposes not to evade regulations
  • In ordinary course of business if necessary to complete tasks/activities for business interests
  • With partners, collaborators, lenders, customers, suppliers, merchant bankers, legal advisors, auditors, insolvency professionals or other advisors
  • When mandatory for performance of duties or discharge of legal obligations

Database Requirements

  • A structured digital database shall be maintained containing names of persons/entities with whom UPSI is shared
  • Database shall include Permanent Account Number or other authorized identifier
  • Company shall have adequate internal controls to ensure non-tampering of database

Chief Investor Relations Officer (CIRO)

  • Compliance Officer Shefali Kesarwani is designated as CIRO for dissemination of information and disclosure of UPSI
  • CIRO shall operate in consultation with Managing Director/Executive Director and/or Chief Executive Officer
  • Board may appoint/designate any other officer as CIRO from time to time

Amendments

  • The Fair Disclosure Code is subject to review by the Board of Directors as deemed necessary
  • Every amendment shall be promptly intimated to stock exchanges
  • The policy shall be hosted on the company website at https://www.technocraftventures.com/
