This document is an intimation to the stock exchanges regarding the company's "Code of Conduct and Procedures for Fair Disclosure of Unpublished Price Sensitive Information" (the Code).
The Code was formulated pursuant to Regulation 8(1) of the SEBI (Prohibition of Insider Trading) Regulations, 2015, and was approved by the Board of Directors of the Company at their meeting held on April 25, 2025.
The objective of the Code is to maintain uniformity, transparency and fairness in dealing with stakeholders and ensure timely, fair and adequate disclosure of unpublished price sensitive information (UPSI) to enable informed investment decisions.
Key provisions of the Code include:
- Prompt disclosure of UPSI to stock exchanges as soon as credible and concrete information comes into being.
- Uniform and universal dissemination of UPSI to avoid selective disclosure.
- Designation of the Head Investor Relations as the Chief Investor Relations Officer (CIRO) to coordinate dissemination of information and disclosure of UPSI with the Compliance Officer.
- Appropriate responses to queries on news reports and verification of market rumours.
- Ensuring that information shared with analysts is not UPSI and maintaining transcripts of meetings where necessary.
- Handling UPSI strictly on a need-to-know basis only for legitimate purposes, discharge of legal obligations, or to those within the company who need it to discharge their duty.
- Maintenance of a structured digital database containing names of persons/entities with whom information is shared, along with PAN or other identifiers, with internal controls like time stamping and audit trails.
The Code is aligned with the principles of responsible business conduct as per the National Guidelines on Responsible Business Conduct (NGRBC) and SEBI's Business Responsibility and Sustainability Reporting (BRSR) framework.
The Code has been published on the company's official website and intimated to the stock exchanges.
