Details of the Violation
The matter concerned Mr. Deepak Krishnamoorthy Manjunath, an immediate relative of designated persons belonging to the Promoter and Promoter Group. The designated persons are Mrs. Mamatha P (PAN: AKQPM6554M) and Mr. K.V. Prakash (PAN: AADPR5297D), who is a Whole-Time Director.
Mr. Manjunath (PAN: AMNPM7756N) executed the following transactions in WSI equity shares on the NSE:
Purchase Transactions:
- 05-Apr-2024: 100 shares (55 shares at ₹156.80 for ₹8,624.00 + 45 shares at ₹156.80 for ₹7,056.00)
- 09-Apr-2024: 50 shares at ₹150.00 for ₹7,500.00
- 04-Jun-2024: 100 shares at ₹124.00 for ₹12,400.00

The company undertook a detailed review of the transactions, obtained written confirmation from Mr. Manjunath, and communicated the applicable requirements under the Code of Conduct and PIT Regulations. The company has strengthened its compliance framework with enhanced reconciliation of Beneficiary Position reports and Buyer/Seller transaction reports, updated compliance database, and strengthened the identification and monitoring framework for Designated Persons, Promoter Group members, and their Immediate Relatives.
