Fusion Finance Limited has made a regulatory disclosure pursuant to Regulation 30(2) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with clause 20 of Para A of Part A of Schedule III of the SEBI LODR Regulations.

The company received an Order dated August 14, 2026, from the Reserve Bank of India (RBI) imposing a monetary penalty of ₹2.70 lakh (Rupees Two Lakh Seventy Thousand only).

The penalty relates specifically to non-compliance with the RBI Know Your Customer (KYC) Directions regarding the requirement to have in place a system for periodic review of risk categorisation of customer accounts, with such periodicity being at least once in six months.

The matter pertains to the RBI statutory inspection with reference to the company's financial position as on March 31, 2025 (FY 2024-25).

The RBI has recorded in its Order that the company undertook corrective action in May 2026 by putting in place a framework to undertake periodic review of risk categorisation of customers.

The company states that the monetary penalty does not have any material impact on its financial position or operations.

The disclosure is made in accordance with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-2/CIR/P/2026/3762 dated January 30, 2026.
